Terms of Service

1. What Ladumapay is, and what it is not

1.1. Ladumapay is a software interface operated by Wealth Boutique OÜ ("we", "us", "our", "Wealth Boutique"). Where these Terms use "Ladumapay", they mean the interface itself.

1.2. Wealth Boutique holds no financial licences of any kind. Ladumapay is not a bank, not a card issuer, not a custodian, not an exchange, not a money-transfer operator, not an investment firm and not a financial adviser. Ladumapay does not hold user funds, does not hold user private keys, does not take custody of crypto assets, does not settle payments, and does not perform any regulated financial service on its own account.

1.3. All financial functionality reached through Ladumapay is delivered by independent third-party providers under their own terms, their own onboarding and their own eligibility rules. See our Availability & Providers page for who provides what. Your legal relationship for each service is with that provider, not with us.

1.4. These Terms govern your use of the Ladumapay interface only. They do not govern the third-party services reached through it.

2. Who can use Ladumapay

2.1. You must be at least 18 years old and legally able to enter into contracts.

2.2. You must not be located in, resident of, or acting on behalf of a person in, a jurisdiction where use of Ladumapay is prohibited, restricted, or subject to sanctions. See our AML/CFT & Sanctions summary.

2.3. Even where the interface is available, individual provider services may be unavailable to you based on that provider's own eligibility rules. We do not override those rules.

2.4. You are responsible for complying with all laws that apply to you in your country of residence, including tax, currency-control, sanctions and reporting obligations. Ladumapay does not provide tax, legal or financial advice.

3. Third-party providers

3.1. The services reached through Ladumapay are provided by independent third parties, including but not limited to Privy (self-custodial wallet infrastructure), LI.FI (cross-chain routing), and the Entry card programme operated by Ethiq Labs Inc. with card issuance by Nimbus LLC doing business as Third National (Puerto Rico Money Transmitter, OCFI licence TM-0207, NMLS ID 2612780).

3.2. When you use a third-party service you enter a separate legal agreement directly with that provider, on that provider's own terms. You are responsible for reading and accepting those terms. We are not a party to that agreement, do not underwrite it, and do not earn revenue from the card programme.

3.3. Providers may decline, suspend, or terminate service to you at any time on their own terms, including for reasons of eligibility, sanctions, KYC/AML, fraud risk, or unilateral policy change. We cannot compel a provider to serve you.

3.4. We do not represent or guarantee that any provider's service will remain available, uninterrupted, priced as displayed, or free from error. Third-party pricing, quotes, exchange rates and routing decisions come from the providers and can change at any time.

4. Your wallet, your keys

4.1. Wallets connected through Ladumapay are self-custodial. The user holds the keys. Wealth Boutique never holds, escrows, or can recover user keys, seed phrases, or passkeys.

4.2. You are solely responsible for securing your keys, your device, your passkey, and any recovery mechanism you set up. Loss of your keys or your recovery material may result in permanent loss of access to your assets. Neither we nor any provider can undo an on-chain transaction.

4.3. You are responsible for verifying the accuracy of every transaction before you sign it. On-chain transactions are irreversible.

5. Acceptable use

5.1. You may not use Ladumapay:

• for any purpose that is unlawful in your jurisdiction, in Estonia, or in a jurisdiction whose sanctions apply to you;
• to evade sanctions, launder proceeds of crime, or finance terrorism;
• to impersonate any person or misrepresent your identity, residence, or source of funds;
• to interfere with, disrupt, reverse-engineer, or attack the interface, its infrastructure, or any provider's infrastructure;
• to attempt to access data, accounts or functionality that are not yours;
• to build automated systems that abuse rate limits, quotas, or fair-use policies.

5.2. We may suspend or terminate your access to the interface at any time and without notice if we reasonably believe you have breached these Terms, if a provider requires it, or if continued access would expose us or any provider to legal, regulatory, sanctions, or fraud risk.

6. Intellectual property

6.1. The Ladumapay interface, including its trademarks, software, design, and content, is owned by Wealth Boutique or its licensors. Nothing in these Terms transfers any intellectual-property right to you.

6.2. You are granted a limited, non-exclusive, revocable, non-transferable licence to use the interface for its intended purpose. You may not copy, modify, reverse-engineer, resell or exploit it beyond that licence.

7. Fees

7.1. Wealth Boutique may charge fees for use of the interface. Any such fee is disclosed at the point of use before you confirm.

7.2. Third-party providers set and charge their own fees, spreads, quotes and network costs. Those are shown by the provider at the point of transaction and are not paid to Wealth Boutique.

7.3. Wealth Boutique does not earn revenue from the Entry card programme.

8. No advice

8.1. Nothing in the interface, or in any content published by Wealth Boutique, constitutes investment, tax, legal, accounting or financial advice, or an offer or solicitation to buy or sell any financial product or crypto asset.

8.2. Crypto assets are volatile and can lose value rapidly, including to zero. You act at your own risk and on your own judgement.

9. Disclaimers

9.1. The interface is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability or uninterrupted operation.

9.2. We do not warrant that the interface will be free of errors, defects, or interruptions, that it will meet your requirements, or that any information displayed (including third-party quotes, exchange rates or routing paths) is accurate at the moment you rely on it.

9.3. We are not responsible for the acts, omissions, failures, insolvency, breach or security incidents of any third-party provider, blockchain, node operator, wallet, oracle, or network. Blockchain networks are public infrastructure operated by third parties and are outside our control.

10. Limitation of liability

10.1. To the maximum extent permitted by law, Wealth Boutique, its officers, employees, and contractors are not liable for:

• loss of profits, revenue, business, goodwill, opportunity, or anticipated savings;
• loss or corruption of data;
• loss of keys, seed phrases, passkeys, or recovery material;
• loss caused by a third-party provider, blockchain, or network;
• indirect, consequential, special, incidental, or punitive damages;

whether in contract, tort, negligence, or otherwise, and whether or not foreseeable.

10.2. To the extent liability cannot lawfully be excluded, our aggregate liability to you for any claim arising out of or in connection with the interface is capped at EUR 100.

10.3. Nothing in these Terms excludes liability that cannot be excluded under Estonian law, including for death, personal injury caused by our negligence, or fraud.

11. Indemnity

11.1. You will indemnify Wealth Boutique and its officers, employees, and contractors against any claim, loss, cost or liability (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the interface, your violation of law, or your infringement of any third-party right.

12. Governing law and disputes

12.1. These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-laws rules.

12.2. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Harju County (Harju Maakohus), Estonia, subject to any mandatory consumer-protection rules of your country of habitual residence that entitle you to the courts of that country.

12.3. Nothing in this clause limits your right, as a consumer, to complain to a competent authority in your country of residence.

13. Changes

13.1. We may update these Terms from time to time. The current version is always available at ladumapay.com/terms with the effective date shown at the top.

13.2. Material changes take effect 14 days after we publish them. Continued use of the interface after that date means you accept the new Terms. If you do not accept the new Terms, stop using the interface.

14.2. Complaints. If you believe we have failed to meet these Terms, write to legal@ladumapay.com with the subject line "Complaint". We will acknowledge within 5 business days and aim to give a substantive response within 30 days. If your complaint concerns a service provided by a third party (wallet, routing, card), please also raise it directly with that provider, since we cannot resolve it on their behalf.
